Terms of Service

These Terms of Service ("Terms") govern your access to and use of StoreMetrics (the "Service"), operated by the provider of storemetrics.app ("StoreMetrics," "we," "us," or "our"). By creating an account, installing our tracking script, or otherwise using the Service, you ("you," "Customer") agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Service
StoreMetrics is a privacy-first web analytics tool for e-commerce sites. It lets you install a tracking script on your website (often a Shopify store) to record analytics events such as pageviews, product views, cart and checkout events, and order and revenue data. StoreMetrics also offers optional integrations with third-party platforms (such as Shopify, Stripe, and TikTok Ads) that you may connect via OAuth to enrich your analytics.
2. Accounts
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
- You must notify us promptly if you suspect any unauthorized use of your account.
- You must be at least the age of majority in your jurisdiction to use the Service.
3. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation.
- Install the tracking script on websites you do not own or are not authorized to manage.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Interfere with, disrupt, overload, or reverse engineer the Service, except where such restriction is prohibited by law.
- Use the Service to collect data in a way that is unlawful, deceptive, or that you have not disclosed to the individuals concerned.
- Resell, sublicense, or provide the Service to third parties except as expressly permitted.
We may suspend or limit access if we reasonably believe your use threatens the security, integrity, or availability of the Service.
4. Your Data and Responsibilities
The tracking script collects data about visitors to your website. As between you and StoreMetrics, you are the controller of that visitor data and StoreMetrics processes it on your behalf. You are responsible for that data and how it is collected. Specifically, you represent and warrant that:
- You have the legal right and any necessary consent or lawful basis to collect visitor analytics data through the Service and to have StoreMetrics process it on your behalf.
- You will maintain and display your own privacy notice (and cookie notice, where required) that accurately describes the data collected via the Service and how visitors can exercise their rights.
- You will not use the Service to collect special categories of personal data or data from children where prohibited, or in any way that violates applicable privacy laws (including the GDPR, CCPA/CPRA, and similar regulations).
- You have the authority to connect any third-party accounts (such as Shopify, Stripe, or TikTok Ads) and to share the associated data with StoreMetrics.
Our processing of visitor personal data on your behalf is further described in our Privacy Policy and, where applicable, a Data Processing Agreement (see Section 12).
5. Subscriptions, Billing, and Cancellation
- Plans. StoreMetrics may offer a free tier and one or more paid subscription plans. Features and limits for each plan are described at the time of signup or on our website.
- Billing. Paid subscriptions are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees until you cancel.
- Renewals. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
- Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you retain access until then.
- Refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods.
- Price changes. We may change our prices. We will give reasonable advance notice, and changes apply from your next billing period.
- Taxes. Fees are exclusive of taxes; you are responsible for any applicable taxes other than taxes based on our income.
6. Intellectual Property
The Service, including its software, design, and content (excluding your data), is owned by StoreMetrics and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain all rights to your own data. You grant us the limited right to host, process, and transmit your data as necessary to provide the Service.
7. Third-Party Services
The Service may integrate with or link to third-party services (such as Shopify, Stripe, and TikTok Ads). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not control their availability or behavior.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that the analytics data will be complete or accurate. You should not rely solely on the Service for financial, tax, or business decisions.
9. Limitation of Liability
To the maximum extent permitted by law, StoreMetrics will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service.
To the maximum extent permitted by law, our total aggregate liability for any claims arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) USD 50.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify and hold StoreMetrics harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your data, or your breach of these Terms or applicable law.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends, and we may delete your data in accordance with our data retention practices. Sections that by their nature should survive termination (including Sections 6, 8, 9, 10, and 13) will survive.
12. Data Processing
Where StoreMetrics processes personal data on your behalf as a processor, that processing is subject to our Privacy Policy and, where required by applicable law, a Data Processing Agreement (DPA). If you require a DPA, contact us at privacy@storemetrics.app.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or an in-app notice). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of Poland, without regard to its conflict-of-laws rules. The courts of Poland will have exclusive jurisdiction over any disputes, except where applicable law grants you the right to bring proceedings elsewhere.
